These Terms of Service ("Terms") govern your access to and use of the Rankrace website (rankrace.com), the Rankrace Monitor platform, and all related services (collectively, "Services") operated by Kashyap LLC ("Rankrace," "we," "us," or "our"). By using our Services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you do not agree, you may not use our Services.

2. Description of Services

Rankrace provides:

SEO Audit Tool: A free automated analysis of your Shopify store's SEO health
Managed SEO Services: Monthly retainer SEO management for Shopify stores
Fix SEO Issues: One-time technical SEO implementation packages
Rankrace Monitor: SaaS subscription service for automated SEO monitoring and issue tracking

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate information, keep your login credentials secure, and notify us immediately of unauthorized access. You are responsible for all activity under your account.

4. Payment and Billing

4.1 Subscription Plans

Subscription plans (Rankrace Monitor) are billed monthly in advance. Subscriptions automatically renew unless cancelled before the renewal date.

4.2 One-Time Services

Fix SEO Issues packages and managed SEO projects may be billed as one-time or recurring invoices as specified at the time of purchase.

4.3 Payment Processing

Payments are processed by Stripe. You authorize us to charge your payment method for all fees associated with your selected plan or service.

5. Acceptable Use

You agree not to:

Use our Services for any illegal purpose or in violation of any laws
Attempt to gain unauthorized access to our systems or other users' accounts
Use our Services to send spam or unsolicited messages
Reverse engineer, decompile, or disassemble any part of our platform
Use automated tools to scrape or extract data from our platform without permission
Resell or redistribute our Services without explicit written permission
Impersonate any person or entity

6. Intellectual Property

All content, designs, software, and materials on our platform are owned by Rankrace or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

By submitting content to us (such as your store URL for audit), you grant us a limited license to analyze and process that data to provide our Services.

7. SEO Results Disclaimer

While we use best practices and proven methodologies, Rankrace does not guarantee specific search engine rankings or traffic results. SEO results depend on many factors outside our control, including Google algorithm changes, competitor activity, and your website's baseline condition. Our client results cited are historical averages and are not promises of future performance.

8. Limitation of Liability

To the maximum extent permitted by law, Rankrace shall not be liable for:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
Damages arising from third-party actions, including search engine algorithm changes

Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Rankrace and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of our Services or violation of these Terms.

10. Termination

Either party may terminate the relationship at any time. We reserve the right to suspend or terminate your access if you violate these Terms, fail to pay, or engage in conduct harmful to other users or our platform. Upon termination, your right to access the Services ends.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Sheridan County, Wyoming.

12. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or notice on our website. Continued use after changes constitutes acceptance of the updated Terms.
